Terms of Service

These terms apply to the services Nudj Technologies Limited’s website, nudj.com gives you. They're in addition to the website terms you agree to when using the Website (as defined below).

Definitions and Interpretation

1.1. 

In these rules, certain words have specific meanings:

  • “Nudj” - a request from a potential customer that comes in the form of SMS or other means of notification as explained in section 2.3 below;

  • "Balance" or "Account Balance"- the credit in your account that you can spend on receiving ~leads;

  • “Customer” - someone who reaches out to you to provide them a service;

  • “Nudj’s Lead Assurance”- The deal between you and Nudj that any customer that reaches out is only interested in your services;

  • “Top-Ups” - the money you pay to ensure lead flow remains constant - we do offer plans that this does not apply to, for example the minimum of X leads per month plans;

  • “Facilitation Services” - nudj.com giving you a potential customer’s contact details in exchange for a fee as set out in schedule 1, turning them into a Contact, as described in section 2.4;

  • “Contact” - a potential customer whose contact details are given to you, as part of the Facilitation Services;

  • “Potential Customers” - businesses and consumers that find your business through a promotion made with Nudj;

  • “Services” - the professional services you provide to a Customer;

  • “us” / “we” / “nudj.com” - Nudj Tech Limited, registered at 20 Old Kiln Lane, Bolton Lancs BL1 5PD UNITED KINGDOM (registered in England & Wales, registration number 12553260);

  • the “Website” - www.nudj.com

  • “you / the Professional” - the person offering professional services to potential customers;

  • “Auto Top-Up” - An optional feature that automatically increases account balance when you are low;

1.2.

All headings are just for ease and don’t change these rules;

1.3.

When we say “person,” we mean anyone, like an individual, company, or organisation;

1.4.

When we mention laws, we mean any rules made under them too, not just the main laws;

1.5.

Words like “include” or “including” mean we're talking about everything, not just a few things;

1.6.

If we say “in writing,” it also includes emails.

1.7

Every potential customer reduces the account balance by £20 exc. VAT.  Unless you are on a plan that includes a minimal number of leads per month.

1.8

Topping up Account Balance is done in multiples of the amount set out in schedule 1.  Topping up is not relevant where the plan is a monthly subscription for an agreed minimum number of leads per month.

How nudj.com Works

2.1.

Once you agree to these rules and pay the Fees, we'll provide you with potential customer details as described below.

2.2.

We run the Website to help connect professionals like you with potential customers.

2.3.

Professionals can use the Website to generate potential customers. Each customer that shows interest sends a “Nudj” to the professional.

2.4.

When you agree to these rules, you register as a “Professional” on the Website. This lets you access potential customers using Account Balance or monthly subscription. Within the bounds of your plan, we’ll share the potential customer’s contact details with you. Now, they’re a Contact, you can reach out to them. The potential customer will be put in touch with you and may decide to hire you. If they choose to do so, they become your Customer. Remember, the Customer is your customer, not nudj.com’s.

2.5.

Important: We only help connect you with potential customers. The actual service contract is between you and the Customer. If there are issues with your service, the Customer has legal rights against you, not nudj.com.

Quality of Service

3.1.

We'll provide the service with reasonable care and skill. Time isn't critical unless we say so on the Website or in any of the content no matter how you receive it from Nudj.

3.2.

Unless we say otherwise in these rules, we don’t give any guarantees about our help.  We can guarantee the number of leads and use all our best efforts to ensure they hold legitimate interest in buying your services, but we cannot guarantee they will proceed with any offer you make.

3.3.

Unlike other services, we don't promise you'll get hired by a potential customer. We just provide the chance to connect. If you don’t get hired, you won't get a Credit refund. See Section 6 for our Credit refund policy.

Your Responsibilities

4.1.

You promise to provide your services with care, diligence, integrity, and at a high standard. Follow all laws, guidelines, and rules for your services (including privacy, consumer laws, decency and safety).

4.2.

You must: (a) follow our Website rules; (b) follow any rules on the Website updated by us; (c) follow any vetting we ask for; 

4.3.

Follow all laws about bribery and corruption.

Buying & Using Account Balance

5.1.

To generate potential customers, you need Balance in your account with us. The cost is in Section 1. VAT (or local equivalent) is extra.

5.2.

Add Account Balance as in Section 1.

5.3.

Use Balance to generate potential customers. The cost per customer is £20 exc. VAT or you may be on a lead subscription plan, in which case the balance renews monthly.

5.4.

Auto Top-Up where relevant can be turned off at any time, you can refund Account Balance whenever is preferred.

5.5.

If you have Auto Top-Up turned on, Account Balance won’t be topped up until you are no longer able to afford customers.

Refunding Balance

6.1.

Unused account balance is fully refundable, if you choose to remove the money from your account, any ongoing promotions will pause and generation of customers will stop.

6.2.

Used Balance can only be refunded if: (a) a phone number we give you is invalid; (b) an email we give you isn't working and bounces back; or (c) we confirm the given contact details aren’t from the person who made the request.

6.3.

If you get a refund under Section 6.2, it's Account Balance in your nudj.com account, not a cash refund.

Intellectual Property Rights

nudj.com owns the material, data, or information we provide to you, including all Website content (unless a third party owns it).

Data Protection

Check our Privacy Policy and Cookie Policy for how we use your personal info.

Liability

9.1.

As in Section 2, you're legally responsible to Customers for your services. If you don't meet your obligations, nudj.com might suffer harm to its reputation. You agree to compensate nudj.com for any losses, liabilities, costs, or expenses we face due to your breach of Section 2.

9.2.

nudj.com's maximum liability under these rules is limited to the Account Balance value purchased in the last twelve months.

9.3.

nudj.com isn't liable to you for: (a) lost profits or business; (b) damage to goodwill or reputation; (c) your liability to any third party, including a Customer; (d) loss of data or software; (e) indirect or consequential loss.

9.4.

Nothing in these rules excludes liability for death or personal injury from negligence, fraud, or any matter that can't be excluded by law.

Information & Confidentiality

10.1.

Keep confidential any info about nudj.com and use any info we give you only for the services. This doesn't apply if the info becomes public or we're required by law to disclose it.

10.2.

Don't use our name, trademarks, or logos for promotion without our written consent.

Termination

11.1.

We can end your Professional registration with notice if you: (a) don't pay us; (b) don't follow your Section 4 duties; (c) get too many complaints; (d) if, in our view, your registration harms or might harm nudj.com's reputation; (e) face an investigation by a regulator.

11.2.

You or we can end your registration with notice if: (a) the other party breaks these rules; (b) the other party faces legal issues; (c) the other party stops or threatens to stop its business; (d) the other party's financial position risks not meeting these rules.

11.3.

If you stop providing services or don't want to be on the Website, let us know so we can remove your registration. Current Account Balance is refunded if you withdraw, as in Section 6.

General Provisions

12.1.

These rules are personal to you, and you can't assign or transfer your rights or duties without our written consent.

12.2.

Any notice needs to be in writing to the other party's trading address or another address we're told about.

12.3.

These rules don't make a partnership or joint venture. Each party is independent, and neither is an employee of the other.

12.4.

If a rule is invalid, the others still apply.

12.5.

These rules follow English and Welsh law and are subject to English and Welsh courts.
